The specific services provided to a client will depend on the agreed project scope, proposal, quotation, or service agreement.

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

If you do not agree with these terms, please do not use our website or services.

3. Our Services

DIGIORRY aims to provide professional digital marketing, creative, and website development services according to the requirements agreed with the client.

Services may include strategy development, content creation, website development, advertising campaign management, SEO activities, social media management, creative production, and other services agreed upon between DIGIORRY and the client.

The exact scope of work, deliverables, timelines, revisions, fees, and other project requirements may be specified separately in a proposal, quotation, invoice, or written agreement.

4. Project Requirements and Client Responsibilities

Clients are responsible for providing accurate and complete information, materials, access credentials, brand assets, product information, images, videos, logos, website access, advertising account access, and other materials reasonably required to complete a project.

Clients must ensure that the information and materials they provide are accurate and that they have the necessary rights and permissions to use those materials.

Delays in providing required information, approvals, access, or feedback may affect project timelines.

5. Website Development Services

For website development projects, the final website will be developed according to the agreed scope and requirements.

Website development may include design, layout customization, responsive implementation, content placement, basic integrations, and other features specifically included in the agreed project.

Additional features, functionality, integrations, pages, revisions, or changes outside the original scope may require additional fees and time.

Clients are responsible for providing final content, images, branding materials, and other information unless content creation has been specifically included in the project scope.

6. Digital Marketing Services

Digital marketing results can depend on many factors, including market conditions, competition, advertising budget, audience behavior, product quality, pricing, website performance, platform algorithms, and other external factors.

DIGIORRY will make reasonable efforts to provide professional strategies and services, but specific rankings, traffic levels, leads, sales, revenue, or advertising results cannot be guaranteed.

SEO performance and advertising performance may change over time due to search engine updates, advertising platform changes, competition, and other external factors.

7. Google Ads, PPC and Paid Advertising

Where DIGIORRY manages paid advertising campaigns, advertising budgets paid to platforms such as Google or Meta are separate from DIGIORRY’s service fees unless otherwise agreed.

DIGIORRY may assist with campaign strategy, setup, targeting, optimization, creative development, tracking, and reporting according to the agreed scope.

Advertising platforms may reject, restrict, pause, modify, or discontinue advertisements or accounts according to their own policies. DIGIORRY cannot guarantee uninterrupted approval or delivery of advertisements.

8. Social Media Marketing

Social media services may include content planning, creative development, posting, account management, audience engagement, and performance analysis depending on the agreed scope.

Social media platforms may change their algorithms, features, policies, reach, or functionality at any time.

DIGIORRY is not responsible for changes made by third-party social media platforms that affect reach, engagement, account functionality, or campaign performance.

9. UGC, Creative and Cinematic Video Advertising

DIGIORRY may create UGC-style advertisements, promotional videos, cinematic advertisements, AI-assisted creative content, graphics, and other marketing materials.

The final creative output will be based on the agreed brief, available materials, brand requirements, and project scope.

Where third-party actors, creators, stock assets, music, footage, voiceovers, software, or other licensed materials are required, additional costs or licensing conditions may apply unless otherwise agreed.

10. Artificial Intelligence and Creative Tools

DIGIORRY may use artificial intelligence and other digital tools to assist in creating marketing materials, visual content, advertisements, concepts, videos, graphics, or other creative assets.

AI-assisted content may require human editing, review, and refinement before final delivery.

Where third-party AI tools or platforms are used, their terms, limitations, licensing conditions, and technical requirements may apply.

11. Content and Intellectual Property

Unless otherwise agreed in writing, DIGIORRY retains ownership of its pre-existing templates, systems, processes, strategies, methodologies, know-how, reusable design elements, and internal resources.

Upon full payment of the applicable project fees, the client may receive rights to use the final deliverables specifically created for that client, subject to the agreed project terms.

Third-party materials, software, fonts, stock images, music, plugins, platforms, and other licensed resources remain subject to their respective licenses and terms.

Clients may not claim ownership of third-party materials or DIGIORRY’s proprietary systems or resources.

12. Client-Provided Materials

Clients are responsible for ensuring that any images, videos, logos, text, product information, customer data, music, trademarks, or other materials supplied to DIGIORRY do not infringe the rights of third parties.

The client agrees to provide materials for which they have the necessary permissions and rights.

DIGIORRY is not responsible for legal claims arising from materials supplied by the client.

13. Payments and Fees

Project fees, service charges, advertising budgets, subscriptions, hosting costs, domain costs, third-party software costs, and other applicable charges will be communicated to the client before or during the project.

Unless otherwise agreed, work may begin after the required advance payment or payment confirmation has been received.

Additional work outside the agreed scope may be charged separately.

14. Revisions and Changes

The number of revisions included in a project will depend on the agreed scope.

Requests that significantly change the original concept, requirements, functionality, design, content, or project direction may be treated as additional work.

Additional charges or timeline adjustments may apply to such requests.

15. Project Delays

DIGIORRY will make reasonable efforts to complete projects within agreed timelines.

However, delays may occur due to circumstances including:

  • Late client feedback

  • Delayed approvals

  • Missing content or information

  • Delayed access to accounts or platforms

  • Third-party service issues

  • Technical problems

  • Platform policy changes

  • Events beyond reasonable control

DIGIORRY will communicate significant project delays where reasonably possible.

16. Third-Party Platforms and Services

DIGIORRY may use or integrate third-party platforms and services, including website hosting providers, domain registrars, analytics tools, advertising platforms, social media platforms, email marketing services, plugins, software, and other technologies.

DIGIORRY does not control third-party platforms and cannot guarantee their availability, functionality, policies, pricing, security, or continued operation.

Clients may be required to maintain their own accounts or subscriptions for certain third-party services.

17. Website Availability

We aim to keep the DIGIORRY website available and functioning properly. However, temporary interruptions may occur due to maintenance, technical problems, hosting issues, security events, or circumstances beyond our control.

We do not guarantee that the website will always be available, uninterrupted, or completely error-free.

18. Prohibited Use

You agree not to use our website or services for unlawful, fraudulent, abusive, harmful, or unauthorized purposes.

You must not:

  • Attempt to gain unauthorized access to our website or systems

DIGIORRY will make reasonable efforts to keep confidential business information and project information provided by clients.

Confidential information will not knowingly be disclosed to third parties except where necessary to provide the agreed services, where authorized by the client, or where disclosure is required by law.

21. Termination

Either DIGIORRY or the client may terminate a project or service arrangement according to the terms agreed for that particular project or service.

If a project is terminated after work has commenced, fees may remain payable for work already completed, approved expenses, third-party costs, or other applicable commitments.

22. Privacy

Your use of the DIGIORRY website is also subject to our Privacy Policy, which explains how we collect, use, and protect personal information.

23. Changes to These Terms

DIGIORRY may update these Terms & Conditions from time to time to reflect changes to our website, services, business practices, or applicable requirements.
